This class action seeks to recover damages against Defendants for alleged violations of the federal securities laws under the Securities Exchange Act of 1934.
The Complaint alleges that throughout the Class Period, Defendants made materially false and/or misleading statements and/or failed to disclose that material adverse facts. Specifically the complaint alleges that defendants willfully or recklessly made and/or caused the Company to make false and misleading statements that failed to disclose that the Monsanto acquisition would burden Bayer with significant exposure to the risk of suffering billions of dollars in judgments and reputational damage, among other things, if lawsuits brought against Monsanto alleging that exposure to its glyphosate-based Roundup product caused cancer, were successful. As a result, defendants’ positive statements about the prospects of the Monsanto acquisition and the benefits it would create for Bayer’s business were materially false and/or misleading and/or lacked a reasonable basis.
